Terms of Service

These terms are an agreement between you and the seller identified in the Seller details section at the bottom of this page (“Phoenix Tools”, “we”). By using the Phoenix Clips web panel or subscribing to Auto-publish, you accept them.
What these terms cover
They cover the phoenixtools.dev website, the Phoenix Clips web panel, and
the Auto-publish subscription. The software you install on your own
machine is licensed separately under the End User Licence
Agreement; how we handle data is described in the Privacy
Policy; refunds and cancellation are in the Refund
Policy.
The service
- The Phoenix Clips plugin and local software are free. Recording clips in Unreal Engine and managing them locally costs nothing and requires no subscription.
- Auto-publish is a paid subscription (€9 per month) that adds publishing from the panel to social platforms — TikTok, Instagram Reels, YouTube Shorts, Facebook Reels, and X — directly or on a schedule, with captions and per-post statistics.
We may improve, extend, or change the service; if a change removes something material from a paid plan, we announce it in advance in the changelog.
Payments
Purchases are processed by Paddle.com Market Ltd, which is the merchant of record for all orders. Paddle handles checkout, invoices, VAT and sales tax, and payment data; your contract of sale is with Paddle, and Paddle’s buyer terms apply to the transaction. These terms govern your use of the service itself.
Your licence to the service
While your subscription is active, you get a non-exclusive, non-transferable right to use the panel and the Auto-publish features for your own projects. One licence key may be used in up to 5 browsers at a time; a browser unused for 30 days frees its seat automatically. A key is for you or your team working on your projects — it may not be resold, shared publicly, or pooled across unrelated organisations.
We may suspend or revoke a licence that is used in breach of these terms. Cancelling the subscription keeps the panel available until the end of the paid period, as described in the Refund Policy.
Your accounts, your keys
This part is unusual enough to state plainly: publishing goes through your own platform accounts and your own API credentials. Phoenix Clips is a tool you operate, not a publishing intermediary — we hold no rights over your content and take no part in the transaction between you and the platforms. That means:
- you are responsible for keeping your accounts and API keys valid and for complying with each platform’s terms (TikTok, Meta, YouTube, X, and any other you connect);
- decisions made by the platforms — rejected posts, rate limits, account restrictions or bans — are between you and the platform; we cannot cause, prevent, or reverse them;
- content you publish is yours, and so is the responsibility for it.
Acceptable use
Do not use the service to publish content that is illegal or infringes the rights of others; do not attempt to disrupt the service, probe its infrastructure, or circumvent licence enforcement; do not use it to spam the platforms in violation of their rules.
Warranties and liability
The service is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted or error-free.
To the maximum extent permitted by law, our total liability for any claims arising from the service is limited to the amount you paid us in the 12 months before the claim arose. We are not liable for indirect or consequential damages, lost profits, or lost data. Nothing in these terms limits liability that cannot be limited by law, including liability for intent or gross negligence, or your statutory rights as a consumer.
Changes to these terms
We may update these terms; the current version always lives at this address with its date above. For material changes we give notice on the website before they take effect; continuing to use the service after that means you accept the updated terms.
Governing law
These terms are governed by the laws of the Netherlands. Disputes go to the competent Dutch court, without prejudice to mandatory consumer protections of your country of residence.
