End User Licence Agreement

This agreement (“EULA”) is between you and the seller identified in the Seller details section at the bottom of this page (“Phoenix Tools”, “we”), and it covers the Phoenix Clips software you install on your own computer: the local service installed by the Phoenix Clips installer and the Unreal Engine plugin. Use of the online service and subscription is governed separately by the Terms of Service.

By installing or using the software you accept this EULA. If you do not accept it, do not install the software.

Licence grant

We grant you a non-exclusive, non-transferable licence to install and use the software on machines you own or control, for your own projects. The plugin and the local software are free to use; features that require the Auto-publish subscription are unlocked by a licence key and remain subject to the Terms of Service.

Installs and licence seats

The software itself may be installed on any number of your machines. What is limited is the subscription: one licence key signs in to the panel in up to 5 browsers at a time, and a browser unused for 30 days frees its seat automatically. The seat unit is browsers, not installs.

What you may not do

You may not:

  • reverse engineer, decompile, or disassemble the software, except to the extent such a restriction is prohibited by applicable law;
  • remove, disable, or work around the licence validation;
  • resell, rent, lease, or redistribute the software or your licence key, or offer the software to third parties as a service;
  • use the software to break the law or the terms of the platforms it publishes to.

Source code that ships with the plugin is provided for integration and debugging in your own projects, not for creating or distributing derivative tools.

What the installer puts on your machine

For transparency, the installer:

  • installs the application files (a bundled Node.js runtime, ffmpeg, and the service itself) into the application folder for your user account;
  • registers a scheduled task that starts the service when you sign in (only if you leave that option enabled during setup);
  • keeps its working data — your clip library, logs, and settings — in your local application data folder (%LOCALAPPDATA%\Phoenix Clips);
  • stores credentials (platform tokens, API keys, the panel password) in the Windows Credential Store of your user account.

The service listens only on your own machine (127.0.0.1) and does not open your computer to the network.

Uninstalling

Uninstalling removes the application files and the scheduled task. The uninstaller asks whether to also delete your clip library and saved credentials; if you decline (or uninstall silently), they are kept in %LOCALAPPDATA%\Phoenix Clips so a future install finds them again. Deleting that folder removes everything the software ever stored.

Updates

We may provide updates that fix, improve, or change the software. Updates are installed by running a newer installer; no update installs itself without your action. This EULA applies to updates unless a new version of it accompanies them.

No warranty

The software is provided “as is”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. You bear the risk of using it. Nothing in this section limits liability that cannot be limited by law or your statutory rights as a consumer.

Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect or consequential damages arising from the software, and our total liability is limited to the amount you paid for the software in the 12 months before the claim arose — for the free software, that is zero, except where the law provides otherwise.

Termination

This EULA ends automatically if you materially breach it. On termination you must stop using the software and uninstall it. Sections that by their nature survive (warranty disclaimer, limitation of liability) survive termination.

Governing law

This EULA is governed by the laws of the Netherlands, without prejudice to mandatory consumer protections of your country of residence. Questions go to the email address in Seller details below.
